How to Form a Company in the UAE — A Simple 2026 Guide

Forming a company in the UAE in 2026 is more straightforward than most people expect — if you understand the structure before you start.

Here’s what you need to know.

Step 1: Choose Your Structure

Three main options exist:

Mainland — Licensed by the Department of Economy and Tourism (DET). Full access to the UAE market, government contracts, and unrestricted operations. 100% foreign ownership now available for most activities.

Free Zone — 40+ options across the UAE, each catering to specific industries. Fast setup, 0% corporate tax on qualifying income, and straightforward visa processing. Best for businesses with international clients.

Offshore — No physical office, no UAE visa. Used for holding companies and international trading structures.

Step 2: Choose Your Business Activity

Your trade license is tied to specific business activities — declared upfront. Choosing the wrong activity causes delays, amendment fees, and compliance issues later. Get this right before applying.

Step 3: Reserve a Trade Name

Your company name must follow UAE naming rules — no offensive terms, no initials if named after a person, and it must reflect your activity or be a unique brand name.

Step 4: Submit Your Application and Documents

Standard requirements include passport copies of shareholders, a lease agreement or flexi-desk arrangement, and a Memorandum of Association for mainland LLCs. Free zones handle most of this process digitally.

Step 5: Register for Corporate Tax

This step is mandatory for every UAE company — mainland and free zone — regardless of profit. Registration is done through the FTA’s EmaraTax portal. Missing the deadline carries a penalty of AED 10,000. Don’t leave this for later.

Step 6: Apply for Visas and Open a Bank Account

Your trade license enables investor visa applications. Bank account opening typically takes 2–6 weeks — start early and prepare a clear explanation of your business model.

What It Costs and How Long It Takes

Free zone company formation typically takes 3–7 working days. Mainland setup takes 1–2 weeks. Costs vary by jurisdiction, activity, and office type — always request a full breakdown including government fees before committing.

One Thing Most Guides Skip

Corporate tax registration is not automatic. It must be completed separately after your license is issued. Every company — including those with zero profit — must register. Penalties apply from the first missed deadline.
